Welcome to ORiele.ai, a website and service operated by ORiele (a TechStrata company). By accessing or using the ORiele.ai website or any content, features, or voice/text AI agents made available through our site (collectively, the "Services"), you acknowledge that you have read and agree to these Terms of Use ("Terms").

If you do not agree to these Terms, you must not use the Services. You affirm that you are at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding agreement.

If you are using the Services on behalf of a company or other entity, you represent that you are authorized to accept these Terms on its behalf, and that the entity agrees to be responsible for your use. These Terms are a legally binding agreement between you and ORiele.

Separate Agreements: If you or your organization have a separate written agreement with ORiele for specific products or services (for example, a customer subscription or service contract), that agreement will govern to the extent it conflicts with these Terms. Otherwise, these Terms apply to your use of the ORiele.ai website and any publicly available ORiele features or agents.

3. Description of Services

Scope of Services

ORiele provides an online platform offering information about our AI voice and text agent solutions for businesses. Our Services include the public website (containing information, demos, and resources) and interactive voice/chat agents that may engage with users via telephone calls or web widgets.

These AI agents are designed to answer questions, collect lead information, and demonstrate ORiele's capabilities in real-time conversations. All such interactions are part of the Services governed by these Terms.

Informational Use

The content on our website (including text, images, videos, and AI-generated responses) is provided for general informational and marketing purposes. While we strive for accuracy, the Services (especially AI agent responses) may occasionally contain errors or outdated information.

You should not rely on any information given by our AI agents as professional advice. Always verify critical information through a human representative or other sources if needed.

4. Permitted Use and User Conduct

You agree to use the Services only for lawful, legitimate purposes and in accordance with these Terms. Prohibited activities include, but are not limited to:

Illegal or Harmful Use

You will not use the site or AI agents to violate any law or regulation, to transmit any content that is unlawful, defamatory, harassing, obscene, hateful, or otherwise objectionable, or to engage in any fraudulent or malicious activity. For example, you must not use the Services to send spam, make threats, or impersonate others.

Interference with the Services

You will not attempt to disrupt or compromise the integrity or security of the Services. This means you must not introduce viruses or malicious code, attempt to hack or gain unauthorized access to any portion of our systems, or interfere with the proper working of our website and agents.

Data Misuse

You will not scrape, crawl, or collect data from our website or AI agents through automated means without our prior permission. You also agree not to misuse the AI agents (for instance, by intentionally submitting sensitive personal information, see Privacy Notice, or by using the agent to generate inappropriate content).

Respect for Others

If interactive features (such as an AI chat or voice call) allow you to input content, you will not upload or transmit content that infringes any intellectual property or privacy rights of others, or that contains personal data of others without authorization.

You are solely responsible for any content or information you provide during your interactions with the Services. ORiele reserves the right to suspend or terminate your access to the Services if you engage in any of the prohibited conduct above or otherwise violate these Terms.

5. AI Agent Interactions

Automated Agent Disclosure

Some of our Services allow you to interact with ORiele's AI-powered voice or chat agents (for example, a phone agent that speaks with you, or a chatbot on our site). By using these agents, you acknowledge and agree that you are communicating with an artificial intelligence, not a human.

The AI agent will attempt to assist you with inquiries (such as providing information about our products or collecting your contact details for follow-up). Automated responses should be expected in these interactions.

Consent to Recording

By continuing with an AI voice call or chat, you consent to ORiele recording and monitoring the interaction for quality, training, and compliance purposes (as detailed in our Privacy Notice). If you do not consent to being recorded or to interacting with an AI system, please do not use the AI agents.

We may also retain transcripts or audio recordings of your conversation to review performance and improve our Services.

Appropriate Use of AI Agents

When engaging with our AI agents, please communicate respectfully and do not provide sensitive personal information (such as financial account numbers, health information, or passwords) to the agent. ORiele's agents are intended for basic inquiries and lead qualification – they are not configured to handle confidential or sensitive data, and our Privacy Notice clarifies that we do not seek to collect such information.

You should not rely on the AI agent for emergency services or time-critical needs, and we do not guarantee any particular outcome from the agent's responses. If at any time you require human assistance, please use the contact options provided on our site (e.g. our contact form or support email).

Third-Party or Embedded Deployments

ORiele's AI voice/text agents may be offered as embeddable widgets or integrated into third-party websites or services (for example, a business customer might deploy an ORiele AI agent on their own site or phone system). If you interact with an ORiele-powered agent on a site or service not operated by ORiele, these Terms still apply to your interaction with the ORiele agent.

However, the third-party site's own terms and policies may also govern your overall use of that site. ORiele is not responsible for any non-ORiele content or services, even if our AI agent is interfacing with you there. We simply provide the AI agent technology.

Any data you provide to an embedded ORiele agent will be handled in accordance with our Privacy Notice and (if the agent is acting on behalf of one of our business customers) it may also be subject to that business's privacy practices.

6. Intellectual Property Rights

ORiele Content

All content and materials available on the ORiele.ai website and through the Services – including but not limited to text, graphics, logos, button icons, images, audio clips, software (including the AI agents and underlying algorithms), and design – are the property of ORiele or its licensors and are protected by intellectual property laws.

This includes our trademarks (such as the ORiele name and logo), trade dress, and copyrighted materials. ORiele reserves all rights in these materials.

Limited License

ORiele grants you a limited, revocable, non-exclusive, non-transferable license to access and use the website content and Services for your personal or internal business use in connection with evaluating ORiele's offerings or doing business with ORiele.

You may not resell, distribute, copy, reverse engineer, or create derivative works from our content or software except as permitted by law or with our express written permission. Except for the limited use rights granted to you in these Terms, you acquire no ownership or license rights in our intellectual property by using the Services.

User Feedback and Submissions

If you choose to provide feedback, suggestions, or ideas to ORiele about our Services (for example, improvement suggestions for the AI agent or our platform), you agree that ORiele is free to use such feedback in any manner and for any purpose, without any restriction or compensation to you.

We appreciate feedback but are not obligated to implement it. Please do not submit any ideas or materials that you consider confidential or proprietary; we cannot accept responsibility to maintain confidentiality of unsolicited suggestions.

8. Disclaimers of Warranties

"As Is" and "As Available"

ORiele provides its website, AI agents, and all Services on an "as is" and "as available" basis. To the fullest extent permitted by law, ORiele disclaims all warranties of any kind, whether express, implied, or statutory, regarding the Services.

This includes any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or usage of trade. We do not guarantee that the Services will be uninterrupted, error-free, or secure, or that any information provided is accurate, complete, or useful to you.

AI Outputs

You understand that responses or information provided by ORiele's AI agents are generated by an automated system. While we strive to provide helpful and relevant answers, we make no warranty that the AI's responses will be correct, complete, or suitable for your particular situation.

The AI may occasionally produce inaccurate or unexpected results. You should use your own judgment and, if necessary, seek professional or human advice rather than relying solely on AI-provided information. ORiele is not liable for any actions you take or fail to take based on information from the AI agents.

No Special Damages

ORiele does not warrant that the Services will meet your expectations or requirements, or that any errors or defects will be corrected. You assume full responsibility for your use of the Services.

Any material or data obtained through the website or AI agents is accessed at your own discretion and risk. ORiele is not responsible for any harm to your computer system, loss of data, or other damage that results from your use of the Services or downloading of any material.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, any warranties required by law are limited in duration to 30 days from the date of your first use of the Services.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will ORiele or its affiliates, officers, directors, employees, or agents be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages whatsoever arising out of or related to your use of (or inability to use) the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory.

This limitation includes, for example, damages for lost profits or revenues, loss of data, business interruption, or computer damage, even if we have been advised of the possibility of such damages.

In addition, ORiele's total cumulative liability arising from or related to the Services (including interactions with our AI agents) will not exceed $100 USD or the amount you paid to ORiele (if any) for the specific Service in question in the 12 months prior to the event giving rise to liability, whichever is greater. This limitation applies to all claims of every kind, whether arising from breach of contract, breach of warranty, tort, or otherwise.

Exceptions

The above limitations of liability do not apply to the extent prohibited by law. For example, some states do not allow the exclusion or limitation of liability for certain damages, so the above limitation may not apply to you in those jurisdictions. In such cases, ORiele's liability will be limited to the smallest amount permitted by applicable law.

You acknowledge that ORiele is offering its website and Services free of charge or at low cost to users for informational and demonstration purposes, and that these liability limitations are a reasonable allocation of risk between you and us. Your sole and exclusive remedy for dissatisfaction with the Services is to stop using the Services.

10. Indemnification

You agree to indemnify, defend, and hold harmless ORiele, its parent company (TechStrata), affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) that arise out of or relate to:

  • Your use of the Services (including any content you provide or actions you take during interactions with our AI agents);
  • Your violation of these Terms or any applicable law or regulation; or
  • Your infringement of any intellectual property or other rights of any third party.

ORiele reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with ORiele in defending such matter). You agree not to settle any such matter without the prior written consent of ORiele.

This indemnification obligation will survive any termination of your use of the Services or these Terms.

11. Governing Law and Jurisdiction

These Terms of Use and any disputes arising out of or relating to the Services or these Terms will be governed by the laws of the State of California, U.S.A., without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Jurisdiction and Venue

You agree that any legal action or proceeding arising under or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Orange County or Los Angeles County, California, and you expressly consent to the personal jurisdiction and venue of those courts.

You waive any objections to jurisdiction or venue in such courts, including objections based on inconvenient forum. Notwithstanding this, ORiele may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

If you are a consumer located outside the United States, you may have additional rights or options under mandatory consumer protection laws; however, to the extent permitted, you agree to submit to the jurisdiction of the aforementioned courts.

12. Miscellaneous

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of the Terms will remain in full force and effect.

No Waiver

The failure of ORiele to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of ORiele.

Entire Agreement

These Terms (together with our Privacy Notice and any additional terms that apply to specific Services you may use) constitute the entire agreement between you and ORiele regarding the use of the Services, and supersede all prior and contemporaneous understandings or agreements (whether oral or written) relating to the subject matter herein.

In the event of a conflict between these Terms and any other terms provided for a particular Service feature, the specific terms for that feature shall control with respect to your use of that feature.

Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. ORiele may freely assign these Terms (for example, in the event of a merger, acquisition, or internal reorganization) without notice to you.

These Terms are binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

No Third-Party Beneficiaries

These Terms are for the benefit of you and ORiele. Except as expressly provided herein, they are not intended to confer any rights or remedies on any third party.

You can opt out of receiving text messages at any time by replying STOP to any message. After opting out, you'll receive a confirmation message and no further texts will be sent unless you re-subscribe.
